# 10. Miscellaneous 10.1 You may not assign or transfer these Terms, in whole or in part, without AmFi’s prior written approval. AmFi may, at any time, assign any of its rights and obligations under these Terms to any person or entity, upon prior notice to you, provided that the assignee shall continue to comply with all obligations assumed by AmFi, as applicable. 10.2 The failure of AmFi to exercise any rights secured in these Terms or in current legislation shall be without prejudice to the subsequent exercise of the same rights. If one or more provisions hereof are held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions hereof shall not be affected or impaired in any way whatsoever. 10.3 These Terms constitute the entire agreement and understanding of the parties on this subject matter and supersede all prior understandings and undertakings on this subject matter.
