AmFi Market

The AmFi Market is a way for you, the investor, to have more liquidity in your investments and also for those who missed an investment Opportunity at its launch and want to take advantage of it!

In the AmFi Market, the investor posts a sale listing for their tokens of a specific product. It’s a way to bring more liquidity to their investments.

Today, an investor can already create a sale offer and look for a buyer—another investor registered on the platform—within our AmFi Market.

For those who want to sell: through the AmFi Market, the investor has the option to sell their position in an Opportunity to another investor. See how simple it is:

  • At the navigation bar at the top of the page, go to “My Investments”;

  • Choose the option “Trade on AmFi Market”;

  • Set the sale conditions:

    • What value of your position you want to sell;

    • What discount will be offered to the buyer of your offer.

After creating the offer, it will remain active until another buyer (or buyers) fully purchases your position. It will also be possible to delete or edit the offer if needed.

For those who want to buy: on the AmFi Market homepage, there will be a list of all Opportunities offered by other investors. Simply choose the Opportunity you want, click on it, and select the purchase amount. The purchase process works the same way as in the primary opportunities.

Fees Charged

AmFi charges a 1% fee on transactions that take place in the AmFi Market. This fee is a percentage of the sale amount and is only charged to the seller when a trade is completed. No fee is charged to the investor buying the offer.

Buyer charge and seller payment

The payment to the seller occurs immediately when an investor buys, partially or fully, the position listed in the AmFi Market. The sold position will no longer appear in the portfolio section on the My Investments page.

The purchase amount will be directly deducted from the buyer’s wallet once the partial or full purchase is confirmed. Go to the My Investments page to view the new Opportunity in the portfolio section.

Offer expiration

After the offer is created, it will remain active until another buyer (or buyers) fully purchases your position. You can delete or edit the offer at any time if you wish.

If an Opportunity reaches its maturity date before you are able to sell your position, the offer listing will also disappear, and you will receive your investment plus the returns as usual.

Creating listings

It is possible to create listings for any Opportunities available in your portfolio, as long as the fundraising is completed. If the Opportunity is still in fundraising or has already been closed, creating a listing will not be possible.

There are no minimum or maximum limits regarding term, amount, or any other variable.

Income Tax and Earnings Report

At the time of sale, the tax will apply to the capital gain, meaning the difference between the purchase amount and the sale amount.

Example: an investor bought a position of R$ 1,000.00 when the Opportunity was launched. Today, their position is worth R$ 1,200.00, and they decide to create a sale offer with a 10% discount, resulting in a sale price of R$ 1,080.00. The tax will be applied to the R$ 80.00 gain. The capital gain tax rate follows the progressive tax table.

From 5 million to 10 million

Nothing will change regarding the earnings report. The amounts withheld according to the tax rules applicable to the AmFi Market will be consolidated in the “Income Subject to Exclusive Taxation” section of your earnings report.

Investments continue to accrue interest even when listed for sale. The investor will not incur any loss.

The AmFi Market is available only to investors who have already invested in a primary Opportunity on AmFi (both the seller and the buyer).

When and how does the buyer payment and seller payout happen?

For the seller: the moment another investor buys, partially or fully, the position listed in the AmFi Market, the sale amount instantly appears in the seller’s wallet. On the My Investments page, that position will no longer appear in the portfolio section.

For the buyer: once the partial or full purchase is confirmed, the purchase amount will be deducted from the buyer’s wallet. On the My Investments page, the buyer will see the new Opportunity listed in the portfolio section.

Do offers have an expiration date?

No. After the offer is created, it will remain active until another buyer (or buyers) fully purchases your position. You can also delete or edit your offer at any time if you wish.]

If an Opportunity reaches its maturity date before you manage to sell your position, the offer listing will disappear, and you will receive your investment plus returns as usual.
